Our team informs clients about changes in regulatory framework and represents/advises them during Mexican financial authority investigations. We also support them in obtaining concessions, permits, licenses, mergers and acquisitions, secured and unsecured financing, negotiating/formalizing joint ventures and business operating agreements, as well as in planning and implementing tax-efficient corporate structures. The team works with clients on issues related to e-commerce and technology and internet-based businesses, including marketing and distribution, licensing, payment systems, personal data collection and protection, and consumer issues.

Our team of professionals drafts and negotiates agreements and provides sophisticated business advice on legal and commercial issues that arise in complex, multi-jurisdictional technology transactions, including software and information technology licensing and procurement, outsourcing arrangements and development, patent licensing and distribution of deals.

We also distinctively represent top international and local software corporations in their technology operations. We have ample expertise advising in the fields of fintech, mobile APPs and software solutions, digital rights management, and personal data protection.

Our regulatory strength also allows us to advise on related matters such as privacy, consumer protection, public procurement, anticorruption and antitrust. In addition, our administrative litigation capabilities allow us to assist clients in Mexican regulator-initiated proceedings or before specialized federal courts. We have particular experience in proceedings before the privacy regulator (INAI) on telecommunication services, privacy and data protection issues.

The Firm has advised several big-tech companies, fintechs and start-ups in connection with the Mexican Fintech regulatory landscape, which includes crowdfunding, e-money institutions, online lending, digital payments, cryptocurrencies, and regulatory sandbox, among others. Our advice comprises the design and development of business models that comply with the regulations applicable to our clients’ specific products and services. We also support companies and financial entities in connection with the structuring of partnerships and joint ventures for purposes of collaborating on user-facing fintech products, diverse venture capital funds and fintech companies related to regulatory licensing processes followed before Mexican financial regulators.
